Terms of Service

1. Acceptance of Terms

By accessing or using the systems provided by Theta Intelligence ("the Agency"), you agree to be bound by these Terms of Service. These terms apply to all clients, founders, and users of our intelligent systems.

2. California Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in California.

3. No Reverse Engineering

Clients are strictly prohibited from: (a) reverse engineering, decompiling, or disassembling any portion of the Agency's JSON system files, n8n workflows, or proprietary logic; (b) attempting to derive the source code or underlying algorithms of the systems; or (c) creating derivative works based on the Agency's intellectual property.

4. Intellectual Property & Sovereignty

While the Agency grants the client a license to use the deployed systems, all underlying architecture, proprietary logic, and "Build Guides" remain the exclusive intellectual property of Theta Intelligence. "Sovereignty" refers to the client's control over their own data and instance, not ownership of the Agency's core technology.

5. Limitation of Liability (Founder Protection)

To the maximum extent permitted by California law, Theta Intelligence and its Founder shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the systems; (ii) any conduct or content of any third party on the systems; or (iii) unauthorized access, use, or alteration of your transmissions or data.

6. Indemnification

You agree to defend, indemnify, and hold harmless Theta Intelligence, its Founder, and its employees from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from your use of the systems or breach of these Terms.

7. Service Agreements

All specific system deployments are subject to individual Service Agreements which override these general terms in the event of a conflict. All pricing is finalized at the time of the Service Agreement and is non-refundable once deployment begins.
