These Terms and Conditions (“Agreement”) govern the relationship between Theta Intelligence (“Company,” “we,” “us,” or “our”) and any client (“Client,” “you,” or “your”) engaging our services.

By accessing our website, engaging in discussions, signing a proposal, or using our services, you agree to these Terms.

1. Nature of Services

Theta Intelligence provides AI operations consulting, system design, integration, and support services for restaurant and hospitality businesses.

We do not provide:

  • Legal advice

  • Financial or tax advice

  • Employment or HR advisory services

  • Guaranteed business outcomes

All services are provided on a best-effort basis, using commercially reasonable methods.

2. No Guarantee of Results

Client acknowledges that:

  • Business outcomes vary

  • AI systems are tools, not guarantees

  • Performance depends on internal operations, staff usage, data accuracy, and external market conditions

Theta Intelligence does not guarantee:

  • Revenue increases

  • Cost savings

  • Labor reduction

  • Customer behavior changes

  • Regulatory approval or compliance outcomes

Past performance does not guarantee future results.

3. Client Responsibilities

Client is solely responsible for:

  • Accuracy of information provided

  • Compliance with labor laws, wage laws, privacy laws, and employment regulations

  • Staff training and internal adoption

  • Use of AI systems in accordance with applicable laws

Theta Intelligence does not control how the Client deploys systems operationally.

4. AI Limitations & Human Oversight

Client acknowledges:

  • AI systems may produce errors, omissions, or inaccuracies

  • AI outputs must be reviewed by humans

  • AI does not replace human judgment or managerial responsibility

Theta Intelligence is not liable for decisions made solely based on AI outputs.

5. Data & Privacy

Client retains ownership of all business data.

Theta Intelligence:

  • Accesses data only to provide agreed services

  • Does not sell client data

  • Implements reasonable security measures

  • Is not responsible for third-party platform breaches

Client is responsible for ensuring compliance with:

  • Data privacy laws

  • Customer consent requirements

  • Recording and call disclosure laws (where applicable)

6. Third-Party Tools & Platforms

Theta Intelligence integrates third-party software and AI platforms.

We are not responsible for:

  • Third-party outages

  • API changes

  • Pricing changes

  • Platform discontinuation

  • Errors originating from third-party providers

Client agrees that third-party terms also apply.

7. Limitation of Liability

To the maximum extent permitted by law:

Theta Intelligence shall not be liable for:

  • Indirect or consequential damages

  • Lost profits or revenue

  • Business interruption

  • Reputational harm

  • Data loss beyond our control

Total liability, if any, shall not exceed the fees paid to Theta Intelligence in the three (3) months preceding the claim.

8. Indemnification

Client agrees to indemnify and hold harmless Theta Intelligence from claims arising from:

  • Client’s misuse of AI systems

  • Employment or labor disputes

  • Customer complaints

  • Regulatory violations

  • Misrepresentation of AI capabilities

9. No Employment Relationship

Nothing in this Agreement creates:

  • An employment relationship

  • A partnership

  • A joint venture

  • Fiduciary obligations

Theta Intelligence acts as an independent contractor.

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary, operational, and business information exchanged.

This obligation survives termination.

11. Termination

Either party may terminate services in accordance with the agreed proposal or contract terms.

Theta Intelligence is not responsible for post-termination system performance.

12. Governing Law

This Agreement shall be governed by the laws of the State of California, without regard to conflict-of-law principles.

13. Entire Agreement

These Terms constitute the entire understanding between the parties and supersede prior discussions.

Theta Intelligence does not provide legal advice.
Clients are encouraged to consult licensed legal counsel to review this Agreement before execution.
